Seller Agreement

• Publish a confidential listing of your business (or franchise) and promote it on our site.
• Show buyers your figures only after they accept an NDA, and qualify them before any introduction.
• Share your business name, address and contact only with buyers our desk has qualified and introduced, and tell you when we do.
• Help with meetings, due diligence, the sale agreement, landlord consent, licence transfer, stock-take and handover.
• You decide whether to accept any offer. We are not a party to the sale unless agreed in writing.

• Listing is free.
• Success fee: 3% of the agreed sale price, with a minimum of Rs 1 lac, payable by the seller when the sale completes (on signing the sale agreement or at handover, whichever is first) to a buyer we introduced. The sale price is everything agreed for the business — goodwill, fixtures, equipment, brand and licences — excluding stock bought at cost at handover.
• If you paid for an expert valuation from us, that fee is credited against the success fee.
• Optional services (expert valuation, verification visit, featured listing) are priced before you order them.

• A buyer is "introduced by us" if they unlocked your listing under our NDA, enquired about it through us, or were put in touch with you by our desk.
• If within 24 months of that introduction you sell the business, or any interest in it, to that buyer or to anyone acting for or related to them, the success fee is due, even if the sale is completed without us.
• Please tell us if a buyer we introduced contacts you directly.

Your listing is non-exclusive: you may also sell the business yourself or through others. The success fee applies only to buyers we introduced.

• You own the business or are authorised to sell it, and everything in your listing is true and not misleading.
• Tell us promptly about material changes (sales, lease, licences, liabilities) and if the business is sold or no longer for sale.
• Keep buyers' details we share with you confidential, and use them only for this sale.

You can withdraw your listing at any time from your dashboard. The introductions and non-circumvention section continues to apply to buyers introduced before you withdrew.
